# Terms of Service

> Terms governing your use of Pond

These terms govern your use of **Pond** ("the Service"), operated by **Ladder Research Ltd.** ("we", "us", "our"), a company registered in England and Wales.

By using Pond, you agree to these terms. If you do not agree, please do not use the Service.

## The service

Pond is a tool for collecting, organising, and thinking with information. We provide it on an "as is" basis and are continuously developing it.

## Your account

* You must provide a valid email address to create an account.
* You are responsible for maintaining the security of your account.
* You must be at least 16 years old to use Pond.

## Your content

* You retain ownership of all content you add to Pond.
* You grant us a licence to store, process, and display your content solely to provide and improve the Service — including sending it to third-party AI providers (OpenAI, Anthropic) to power features like search and the AI agent.
* We do not claim any intellectual property rights over your content.
* We will not share your content with other users unless you explicitly choose to do so.

## Acceptable use

You agree not to:

* Use Pond for any unlawful purpose
* Attempt to gain unauthorised access to the Service or its systems
* Interfere with or disrupt the Service
* Upload malicious code or content

We reserve the right to suspend or terminate accounts that violate these terms.

## Availability and changes

* We aim to keep Pond available but do not guarantee uninterrupted access.
* We may modify, suspend, or discontinue features at any time.
* We will make reasonable efforts to notify you of significant changes.

## Limitation of liability

To the fullest extent permitted by law:

* The Service is provided **"as is"** without warranties of any kind, express or implied.
* Ladder Research Ltd. shall not be liable for any indirect, incidental, or consequential damages arising from your use of Pond.
* Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim (if applicable).

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

## Governing law

These terms are governed by the laws of **England and Wales**. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

## Changes to these terms

We may update these terms from time to time. We will notify you of material changes by email or through Pond. Continued use of the Service after changes constitutes acceptance of the updated terms.
